GENERAL TERMS AND CONDITIONS MATERIALEN PARADIJS B.V.

ARTIKEL 1. Identity and Applicability
1.1 Materialen Paradijs B.V., registered with the Chamber of Commerce under number 99700158, VAT number NL869096989B (hereinafter: "Materialen Paradijs"). 1.2 These conditions apply to every use of the platform and all legal relationships between Materialen Paradijs and its Users.
ARTIKEL 2. Definitions
2.1 Platform: The digital environment including API structures. User: Anyone who uses the platform (Buyer and/or Seller).
ARTIKEL 3. The Platform Model
3.1 Materialen Paradijs acts as a technical facilitator. The Purchase Agreement is established directly between Buyer and Seller.
ARTIKEL 4. Registration and Account Management
4.1 A business account (KVK/Trade Register) is required for selling. Accounts are strictly personal and non-transferable.
ARTIKEL 5. Guest Checkout and Automatic Account Creation
5.1 The Platform offers Guest Checkout. By purchasing, the Buyer agrees that the system automatically creates an account based on the email address for invoice and Track & Trace purposes.
ARTIKEL 6. Compliance and KYC
6.1 Verification takes place via KVK and Stripe (KYC check). Users grant full cooperation to this process.
ARTIKEL 7. Product Requirements
7.1 Only new, unused materials are permitted. Offering used materials is prohibited.
ARTIKEL 8. Automated Checks and Moderation
8.1 The Platform may use automated filters to identify certain prohibited terms and potential violations in product titles and descriptions. 8.2 An automated check does not guarantee that every violation will be detected. 8.3 Materialen Paradijs may reject or remove a listing that violates these Terms or applicable law.
ARTIKEL 9. AI-Generated Content (Jan & Jessica)
9.1 The Platform uses AI for the search assistant (Jan) and support (Jessica). AI outputs are indicative; Materialen Paradijs is not liable for technical interpretation errors by AI.
ARTIKEL 10. Sourcing Hub and Leads
10.1 Inquiries in the Sourcing Hub are informative. Materialen Paradijs never guarantees the authenticity or quality of an individual lead.
ARTIKEL 11. Premium Subscriptions
11.1 Sellers can take out a "Premium" subscription for €49.99 per month. Payment is made monthly in advance via Stripe Connect.
ARTIKEL 12. Cancellation and Renewal of Premium
12.1 Subscriptions are tacitly renewed monthly. Cancellation stops the next collection; no refunds will be given.
ARTIKEL 13. Bulk Upload and API Usage
13.1 When using bulk import tools (CSV/Excel), the Seller bears full responsibility for the accuracy of the data.
ARTIKEL 14. Conclusion of Purchase
14.1 The purchase agreement is binding as soon as the Buyer has successfully completed the payment via the Stripe gateway.
ARTIKEL 15. Payment Holding and the 14-Day Rule
15.1 Funds are held in Escrow. If the Buyer does not protest within 14 days, the automatic Worker script sets the order to "Delivered".
ARTIKEL 16. Logistics and Shipping Calculation
16.1 The system calculates shipping costs live. For combined orders from one seller, the highest shipping rate is automatically applied.
ARTIKEL 17. Self-Shipping Obligations
17.1 In the case of self-shipping, the Seller must link a valid Track & Trace code in the system within 48 hours.
ARTIKEL 18. Administrative Surcharges
18.1 For "Courier pickup" via the platform, an administrative surcharge of €3.00 (excl. VAT) per shipment applies to the Seller.
ARTIKEL 19. Prices and VAT
19.1 The Seller enters the sale price excluding VAT. The Platform may additionally display a price including VAT. 19.2 The final total amount shown during checkout is decisive for payment. 19.3 The checkout does not currently support automatic VAT reverse charging. Where a VAT reverse charge is legally applicable but cannot be processed technically, Materialen Paradijs must be contacted before purchase.
ARTIKEL 20. Platform Fee
20.1 Materialen Paradijs withholds a 7% commission on the selling price. This fee is automatically deducted at payout.
ARTIKEL 21. Transaction Costs
21.1 Transaction costs may be charged by the payment service provider used to process payments. 21.2 These costs are borne by the Seller and may be automatically deducted from the payout. 21.3 The current transaction costs will be made known through the Platform or before the relevant transaction is entered into.
ARTIKEL 22. Duration and Management of Listings
22.1 No annual renewal fee per product is charged for placing or keeping a regular listing active. 22.2 A listing remains active until the product is sold, the Seller deactivates or removes the listing, or Materialen Paradijs removes it under these Terms.
ARTIKEL 23. Inactive and Outdated Listings
23.1 The Seller is responsible for keeping product information, prices and stock up to date. 23.2 Materialen Paradijs may ask a Seller to review or update a listing that has been inactive or outdated for a prolonged period. 23.3 Where a listing is demonstrably incorrect, no longer available or in breach of these Terms, Materialen Paradijs may deactivate or remove it.
ARTIKEL 24. Right of Withdrawal (B2C)
24.1 Private buyers have a 14-day legal cooling-off period. Return costs are entirely for the account of the Buyer.
ARTIKEL 25. Exclusion of Withdrawal (B2B)
25.1 Business buyers (B2B) have no right of withdrawal, return, or dissolution of the purchase agreement.
ARTIKEL 26. Product Responsibility and Liability
26.1 The Seller remains responsible for the quality, safety, origin, description and legal compliance of the products offered. 26.2 The Seller warrants that the products comply with applicable product and safety regulations. 26.3 Damage demonstrably resulting from a defect or failure in a product is borne by the Seller insofar as such damage is attributable to the Seller under the law.
ARTIKEL 27. Warranty
27.1 Products are sold "as-is". Any factory warranty must be claimed directly from the Seller.
ARTIKEL 28. Communication and Filters
28.1 Communication takes place via the platform chat. The system filters direct contact. Circumvention is prohibited.
ARTIKEL 29. Circumvention of the Platform
29.1 Contacts established through the Platform may not deliberately be continued outside the Platform with the aim of avoiding the platform fee. 29.2 In the event of an established violation, Materialen Paradijs may temporarily suspend the account, charge the lost platform fee and recover demonstrable reasonable damages and costs. 29.3 The account may be permanently terminated in the event of repeated or serious violations.
ARTIKEL 30. Intellectual Property and Marketing Use
30.1 The Seller grants Materialen Paradijs permission to use submitted product information and images to display and promote the offer through the Platform, search engines, newsletters and social media. 30.2 Confidential business information will not be publicly disclosed for marketing purposes without permission.
ARTIKEL 31. Use of Trade Names and Logos
31.1 Materialen Paradijs may display a Seller's trade name and logo to show the cooperation and offer on the Platform. 31.2 The Seller may object to promotional use, after which Materialen Paradijs will remove the logo from promotional materials within a reasonable period, unless its use is necessary to provide the services.
ARTIKEL 32. Privacy and GDPR
32.1 Processing takes place in accordance with the Privacy Statement. Data is shared with Stripe and Wuunder for execution.
ARTIKEL 33. Cookies
33.1 Use of the platform implies acceptance of functional cookies necessary for checkout and session management.
ARTIKEL 34. Payout Terms
34.1 Payout follows immediately after delivery (B2B) or after 14 days (B2C), provided the Stripe status is "active".
ARTIKEL 35. Disputes and Mediation
35.1 Materialen Paradijs may mediate in a dispute between a Buyer and Seller and request the parties involved to provide additional information or evidence. 35.2 Both parties will, insofar as reasonably possible, be given an opportunity to explain their position. 35.3 Based on the available information, Materialen Paradijs assesses whether a payment can be released, refunded or must remain temporarily blocked. 35.4 This assessment does not affect the parties' right to submit a dispute to a competent authority or court.
ARTIKEL 36. Platform Liability
36.1 Our liability is at all times limited to the commission earned on the specific transaction.
ARTIKEL 37. Exoneration Indirect Damage
37.1 We are never liable for loss of profit, missed savings, or system downtime.
ARTIKEL 38. Scraping Prohibition
38.1 The automated reading of product data (scraping) is strictly prohibited and leads to legal action.
ARTIKEL 39. Insurance
39.1 Sellers must ensure adequate business liability insurance.
ARTIKEL 40. Heavy Equipment and Vehicles
40.1 The sale of vehicles is "as-is". The Buyer is responsible for inspection and transfer of ownership.
ARTIKEL 41. Chemical Substances
41.1 Sale of chemicals may only occur in accordance with REACH regulations including delivery of safety data sheets.
ARTIKEL 42. Force Majeure
42.1 Malfunctions at external partners (Stripe, hosting) count as force majeure for Materialen Paradijs.
ARTIKEL 43. Fraud and Abuse
43.1 Where there is a reasonable suspicion of fraud, abuse or a serious violation, Materialen Paradijs may temporarily suspend an account or payment while an investigation is carried out. 43.2 The User may be requested to provide additional information. 43.3 In the event of a proven, repeated or serious violation, the account may be permanently terminated. 43.4 Where circumstances permit, the User will be informed of the reason and any subsequent steps.
ARTIKEL 44. User Reviews
44.1 Reviews must be based on facts. False or defamatory reviews will be removed immediately.
ARTIKEL 45. Taxes
45.1 The Seller is responsible for the correct declaration and payment of VAT on the goods sold.
ARTIKEL 46. Assignment (Cession)
46.1 We may transfer our rights and obligations under these terms to a third party upon sale of the company.
ARTIKEL 47. Notice & Takedown
47.1 Reports of infringing content can be made via info@materialenparadijs.nl and will be handled within 48h.
ARTIKEL 48. DSA Compliance
48.1 We comply with the Digital Services Act guidelines for online marketplaces.
ARTIKEL 49. Limitation Period
49.1 Any legal action against Materialen Paradijs expires after the lapse of 12 months.
ARTIKEL 50. Severability
50.1 If a provision of these Terms proves to be wholly or partly void, invalid or unenforceable, the remaining provisions will remain in full force. 50.2 To the extent possible, the relevant provision will be replaced by a valid provision that reflects its purpose and intent as closely as possible.
ARTIKEL 51. Identification Requirement
51.1 Users must provide a valid ID or Trade Register extract upon first request.
ARTIKEL 52. Automated Filters
52.1 Materialen Paradijs may use automated filters and moderation rules to identify certain prohibited terms and potential violations. 52.2 To limit abuse and circumvention, Materialen Paradijs is not required to disclose the exact operation or full contents of these filters. 52.3 A signal may result in the rejection, removal or additional review of a listing.
ARTIKEL 53. Support Deadlines
53.1 Support questions are handled on a 'best effort' basis within 2 to 3 working days.
ARTIKEL 54. Interest Compensation
54.1 No interest is ever compensated on funds in the Stripe escrow phase.
ARTIKEL 55. Applicable Law
55.1 Dutch law applies exclusively to all agreements.
ARTIKEL 56. Competent Court
56.1 Disputes shall be submitted to the competent court in Amsterdam.
ARTIKEL 57. Complaint Period
57.1 Defects must be reported by the buyer via chat within 48 hours of discovery.
ARTIKEL 58. Language Versions
58.1 In the event of differences between translations, the Dutch text of these conditions shall be decisive.
